Trust and Probate Litigator

Hahn & Hahn LLP seeks a qualified lawyer with 3-5 years of experience in trust and probate litigation, including prosecuting or defending will or trust contests, accounting petitions, trustee removal or other fiduciary related disputes, and elder financial abuse litigation. Experience propounding/responding to discovery, conducting or defending depositions, and drafting petitions or motions. Experience in conservatorship and guardianship establishment and administration, including contested matters preferred. Compensation is commensurate with experience and ranges from $150,000 to $180,000.

Senior Tax Attorney

Hahn & Hahn LLP seeks a well-qualified candidate with 10+ years experience in counseling clients in matters relating to federal and California individual and business tax planning, including income, estate, real property, and property taxes, ensuring compliance with federal and California state tax laws. This candidate will be assisting clients in succession planning along with entity formation and governance for both business, tax -exempt entities and individual clients, as well as drafting essential business documents such as purchase and sale agreements, operating agreements, and buy-sell agreements. In addition, a successful candidate will play a key role in M&A transactions, conducting due diligence, drafting contracts, and providing legal guidance throughout the transaction process. The candidate should also be able to undertake work on corporate and business transactions, including mergers, reorganizations, acquisitions, dispositions, and dissolutions. Compensation is commensurate with experience and ranges from $200,000 to $300,000 for this position.

Senior Trust & Estates Attorney

Hahn & Hahn LLP seeks a seasoned Trust & Estates attorney with at least 10 years of strong experience advising high net worth individuals and families in all aspects of their estate and tax planning, as well as experience with trust and probate administration. This senior attorney will design/draft/implement estate plans and offer tax analysis and advice. The candidate should have some experience with real property transfers/distributions, fiduciary taxation and fiduciary accounting. Experience with succession planning, including the income taxation of corporate and partnership/LLC entities related to family business estate planning is preferred but not essential.

The qualified candidate will have strong academic and employment credentials, demonstrated ability to work independently and supervise junior attorneys, and the capacity to hit the ground running with existing client matters. Candidates should have a current and well-articulated business development plan. A portable book of business is not required. However, candidates who anticipate transferring an existing client base will receive priority review. Compensation will be commensurate with experience and ranges from $200,000 to $300,000 for this position.

Many of our business lawyers serve in the role of outside general counsel for various privately held company clients. We advise on myriad business issues, from the day to day to the strategic, from capital markets to financing, from business structuring to crisis management, from collegial business startups to dysfunctional equity ownership, and everything in between. We structure, negotiate and document complex transactions for public and private companies, families and individuals. Our clients range from startups to multi-generational enterprises to long time institutional businesses, across the industry landscape, including operating businesses and business owners in the tech, manufacturing, healthcare, retail, restaurants, fitness, and professional services sectors; real property owners, operators, investors, developers, contractors and managers; institutional and private lenders; non-profit entities; and community stakeholders.

We are currently seeking a senior business attorney to join our business practice group. The successful candidate will be a dynamic attorney with at least 10 years of sophisticated transactional business experience in two or more of our practice area skills sets, and a desire and aptitude to become proficient in other aspects of our business practice. By way of example, our practice includes business entity structuring and formation, capital structures, capital and financing transactions, corporate and entity governance, general business advice and counsel, mergers and acquisitions, partnerships and affiliations, land use planning, property tax planning, real estate and personal property leasing, commercial and residential real estate transactions and projects, exempt securities transactions and structuring and negotiating complex agreements and other business arrangements. Our work includes assisting partnerships and private companies manage through and resolve partner, shareholder and/or board conflicts and disputes and myriad other business disputes. Compensation will be commensurate with experience and ranges from $200,000 to $300,000 for this position.
